Welcome to Birova. These Terms of Service (“Terms”) govern your access to and use of the Birova website, mobile application, merchant dashboard, and related products and services (collectively, the “Services”).

Birova is currently in pre-launch. Certain features described in these Terms are under development and may not yet be available.

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, do not use the Services.

1. Eligibility & Acceptance

By using Birova, you confirm that:

• You are at least 18 years old,

• You can form a legally binding contract,

• You agree to comply with these Terms and all applicable laws.

If you are using Birova on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

Birova is building a platform intended to provide:

• A marketplace for users to earn cashback-style rewards (“Cashback Points”) from participating local businesses, once the Services are fully launched.

• Tools for local merchants to promote offers, configure reward programs, and engage with nearby customers.

• Planned card-linked offer functionality, intended to enable automatic reward verification through secure third-party technology, subject to availability and required approvals.

Birova does not currently provide live card-linked financial services, and no rewards or cashback are guaranteed prior to full launch.

Features may be added, removed, delayed, or modified at any time.

3. User Accounts

3.1 Registration

To access certain features, you must create an account and provide accurate information.

3.2 Responsibility for Account

You agree to:

• Maintain confidentiality of login credentials,

• Notify Birova immediately of unauthorized use,

• Accept responsibility for all activities under your account.

3.3 Account Termination

We may suspend or terminate your account if you:

• Violate these Terms,

• Engage in fraud or misuse,

• Attempt to manipulate Cashback Points, card transactions, or merchant offers.

You may delete your account at any time.

4. Card-Linked Offers & Transaction Verification

4.1 Card Linking

If and when card-linked functionality becomes available, users may be offered the option to link a debit or credit card through a secure third-party provider.

By choosing to link a card (once available), you would authorize:

• The processing of limited transaction metadata by third-party partners,

• The sharing of such metadata with Birova solely for reward eligibility, fraud prevention, and platform analytics.

Card-linking functionality is not currently live and is subject to third-party approval and technical readiness.

4.2 Transaction Metadata

If card-linked functionality is enabled in the future, Birova may receive limited transaction data, which could include:

• Merchant name

• Merchant Category Code (MCC)

• Merchant location or identifier

• Transaction date and time

• Transaction amount

• Last four digits of the card or a tokenized identifier

Birova will not receive or store full card numbers, CVV codes, expiration dates, or sensitive authentication data.

4.3 Retention

If transaction metadata is received, it will be retained only for as long as reasonably necessary for verification, compliance, and fraud prevention, after which it will be deleted or anonymized in accordance with our Privacy Policy.

5. Cashback Points & Rewards

5.1 Earning Cashback Points

Cashback Points may be earned after launch when:

• A qualifying purchase is made with a participating merchant,

• The transaction is successfully verified using available verification methods,

• Applicable merchant terms and eligibility criteria are satisfied.

Not all purchases qualify, and rewards are not guaranteed.

5.2 Point Value

Cashback Points are intended to represent a monetary value displayed within the Services.
Birova reserves the right to determine, adjust, suspend, or discontinue point valuation at any time.

5.3 Expiration

Cashback Points may expire after a defined period, which will be disclosed within the Services once live.

5.4 Cash Conversion & Withdrawals

If redemption functionality becomes available, users may be permitted to convert Cashback Points into cash or other rewards subject to:

• Minimum thresholds,

• Identity or account verification,

• Fraud, compliance, or technical checks.

Redemption methods, timing, and availability are not guaranteed and may change.

5.5 Restrictions

Birova may refuse or reverse Cashback Points if:

• A transaction is reversed or refunded,

• Fraud is detected,

• A merchant disputes the transaction,

• The purchase occurred outside the offer terms.

6. Merchant Terms

Merchants acknowledge that:

• Merchant tools and funding requirements may evolve prior to launch,

• Cashback programs may require pre-funding or settlement mechanisms once enabled,

• Participation is subject to verification, compliance, and platform readiness.

6.1 Merchant Responsibilities

Merchants agree to:

• Provide accurate business information,

• Fund their cashback programs or offers as required,

• Comply with Birova’s rules, financial partner requirements, and card network regulations,

• Not create fraudulent transactions to inflate cashback activity.

6.2 Payouts & Funding

Merchants may be required to fund accounts to cover expected cashback liabilities.
Birova may withhold or delay payouts if:

• Fraudulent activity is suspected,

• KYB (Know Your Business) verification fails,

• Banking issues occur.

6.3 Chargebacks

If a user initiates a chargeback:

• Related Cashback Points may be revoked,

• Merchants may be responsible for fees or adjustments dictated by financial partners.

7. Prohibited Activities

You may not:

• Use Birova for unlawful purposes,

• Attempt to game or artificially generate rewards,

• Create multiple accounts to exploit offers,

• Interfere with or disrupt the platform,

• Use bots, scrapers, or unauthorized automation tools,

• Misrepresent purchases or manipulate card transactions.

Birova reserves the right to investigate and pursue legal or financial remedies.

8. Intellectual Property

All trademarks, logos, graphics, text, and software belong to Birova or its licensors.
You may not copy, reproduce, or distribute any part of the Services without written permission.

9. Third-Party Services

Birova may integrate with third-party services and providers to support planned functionality, which may include:

• Card-linking or transaction-verification providers

• Payment processors

• Card networks and issuing banks

• Analytics and marketing tools

Such integrations may not be active at this time.
Birova is not responsible for the availability, accuracy, or actions of third-party services.

10. Privacy

Your use of Birova is governed by our Privacy Policy, which explains how we collect, use, share, and protect your information.

By using Birova, you consent to all data practices described in the Privacy Policy.

11. Disclaimers

The Services are provided on an “as-is” and “as-available” basis.

Birova does not guarantee that:

• Cashback or rewards will be earned,

• Card-linked functionality will become available,

• Offers, merchants, or features will be available at any specific time,

• The Services will operate uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law:

• Birova is not liable for indirect, incidental, punitive, or consequential damages.

• Birova is not responsible for losses caused by partner businesses or failed transactions.

• Your sole remedy is to discontinue use of the Services.

13. Changes to Terms

We may modify these Terms at any time.
Continued use of Birova after changes constitutes acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Any dispute must be resolved exclusively in state or federal courts located in Los Angeles County, California.
